NON-EXCLUSIVE WAV BEAT LEASE AGREEMENT

Licensor: Sound Marauder
1. Grant of License
Sound Marauder hereby grants the Licensee a non-exclusive, non-transferable license to use the Beat to create one (1) new musical composition (“New Song”) by recording synchronized vocals over the Beat. Sound Marauder remains the sole owner of the Beat and may continue to lease it to other parties.
2. Usage and Distribution Limits
The WAV Lease typically offers higher distribution thresholds than an MP3 lease:
• Audio Streams: Up to [500,000] monetized streams (Spotify, Apple Music, etc.).
• Physical/Digital Sales: Up to [10,000] units (downloads or physical copies).
• Music Video: One (1) or two (2) music videos for non-monetized or limited monetization use.
• Live Performances: Unlimited non-profit; for-profit allowed up to $[50k] in earnings.
• Broadcasting: Rights for up to [2] radio stations.
3. Credit Requirements
The Licensee must provide production credit to Sound Marauder on all metadata and physical media as: “Produced by Sound Marauder”.
4. Ownership and Royalties
• Beat Ownership: Sound Marauder retains 100% ownership of the Beat’s copyright and master recording.
• Publishing Split: 50% of the “Writer’s Share” and “Publisher’s Share” of the New Song belongs to Sound Marauder (Music), and 50% belongs to the Licensee (Lyrics).
• Registration: If registered with a Performing Rights Organization (PRO), the Licensee must list Sound Marauder as a 50% contributor.
4. Term and Termination
This license is valid for [5 years] from the Effective Date or until distribution limits are reached, whichever comes first. Upon expiration, the Licensee must renew the lease or cease distribution.
6. Restrictions
The Licensee may not resell, sublicense, or transfer the Beat to any third party. Modification is limited to tempo, pitch, and length; adding new instrumentation is prohibited without written consent.
7. Sample Clearance
The Licensee is solely responsible for clearing any third-party samples they may add to the New Song and agrees to hold Sound Marauder harmless from any related claims.
By completing the purchase and downloading the Beat, the Licensee agrees to all terms above.
