UNLIMITED EXCLUSIVE BEAT LICENSE AGREEMENT

Licensor: Sound Marauder

1. Grant of Exclusive Rights

Sound Marauder hereby grants the Artist exclusive, perpetual, and worldwide rights to use the Beat for any commercial or non-commercial purpose.

• Exclusivity: Following this sale, Producer shall cease all further licensing of the Beat to third parties.

• Grandfather Clause: Artist acknowledges that prior non-exclusive licensees may still use the Beat under their existing terms, but no new licenses will be issued.

2. Unlimited Usage & Distribution

The Artist is granted unlimited rights, including but not limited to:

• Streams & Sales: Unlimited monetized streams and physical/digital sales.

• Performances: Unlimited for-profit live performances.

• Broadcasting: Unlimited radio play and synchronization for TV/Film.

• Content ID: Unlike leaseholders, the Exclusive owner is permitted to register the New Song with YouTube Content ID and other fingerprinting services.

3. Ownership & Copyright

• Beat Copyright: Sound Marauder retains full copyright ownership of the underlying Beat (the instrumental itself).

• Publishing Splits: Ownership of the underlying Composition (lyrics + music) is split 50% to Artist and 50% to Sound Marauder.

4. Credit Requirements

The Artist must credit the Producer as “Produced by Sound Marauder” on all versions of the New Song, including metadata, physical liners, and video descriptions.

5. Delivery & Formatting

Upon full payment, Producer will deliver:

• High-Quality 24-bit WAV file.

• Fully Mastered 320kbps MP3 file.

• Full Track-Out Stems (separated audio tracks) for professional mixing.

6. Restrictions

• Resale: The Artist may not resell the Beat as a standalone instrumental.

• Modifications: The Artist has the right to modify the Beat’s arrangement, length, or instrumentation.

Execution of this agreement is confirmed upon receipt of the one-time Exclusive Fee.
