EXCLUSIVE BEAT LICENSE AGREEMENT

This Exclusive Beat License Agreement (“Agreement”) is entered into as of [Date of Purchase] (“Effective Date”) by and between:
Sound Marauder (“Producer”), whose principal place of business is soundmarauder.com
and
[Artist Name] (“Artist”).
RECITALS
WHEREAS, Producer is the owner of certain musical compositions and beats, including the beat you have purchased (“Beat”); and
WHEREAS, Artist desires to obtain exclusive usage rights to the Beat in accordance with the terms of this Agreement.
NOW, THEREFORE, for good and valuable consideration, the parties agree as follows:
Payment Terms
1.1 Artist agrees to make a one-time payment as listed on the website (the “Payment”) to Producer for the exclusive usage rights to the Beat.
1.2 The Beat will be delivered to the Artist upon full payment being received by the Producer.
Usage Rights
2.1 Artist shall have exclusive rights to use the Beat for any commercial and non-commercial purposes.
2.2 Artist may incorporate the Beat into any work or project, including, without limitation, music tracks, performances, videos, and promotional materials.
2.3 There are no restrictions on the Artist’s usage of the Beat.
Credit Requirements
3.1 Artist agrees to credit the Producer as “Produced by Sound Marauder” in all instances where the Beat is used, including but not limited to any distribution, performance, and promotion of any work incorporating the Beat.
Copyright Ownership
4.1 Producer shall retain all rights to the copyright of the Beat master, including but not limited to all reproduction, distribution, and derivative rights.
4.2 Artist shall have exclusive rights to use the Beat, but shall not acquire ownership or any rights to the copyright of the Beat itself.
Non-Transferability
5.1 Artist acknowledges that the rights granted to them in this Agreement are non-transferable.
5.2 Artist shall not sell, lease, transfer, assign, or otherwise allow any third party to use the Beat, nor may the Artist resell the Beat.
Delivery Terms
6.1 Upon receipt of full payment, Producer shall deliver the Beat to the Artist in the following formats:
Two-track WAV file
Tracked-out stems in WAV format
Fully mastered MP3 file
Sample Clearance Responsibility
7.1 Artist is solely responsible for clearing all and any samples used in the Beat.
7.2 Artist agrees to hold Producer harmless and indemnify Producer against any claims, demands, or liabilities arising from the use of un-cleared samples in the Beat.
Confidentiality Clause
8.1 Both parties agree that the terms of this Agreement and any confidential information shared between them shall remain confidential.
8.2 Neither party shall disclose the terms of this Agreement to any third party without the prior written consent of the other party.
Production Credit Protection
9.1 Artist acknowledges that Producer retains sole ownership of the production credit for the Beat.
9.2 Artist shall not claim or imply production credit for the Beat.
